VIII. Other Business IX. Adjournment -- Board Minutes The INARF Board of Directors Meeting was held on November 20, 2014 at the Radisson Hotel Indianapolis Airport, 2500 S. High School Road in Indianapolis. The INARF Board Meeting convened at 9:00 a.m. Present: Steve Sacksteder, Chair Jill Dunn, Immediate Past Chair Patrick Cockrum, Vice Chair Marie Dausch, Treasurer Jim Allbaugh, Carey Services, Inc. Call to Order, Welcome and Introduction Steve Sacksteder, INARF Board Chair, welcomed those in attendance. He introduced Katy Stafford-Cunningham, INARF’s new Vice President/Public Policy. In addition, Kim Opsahl also congratulated Rick Thompson on his recent appointment as Corvilla, Inc.’s new CEO. II. Modification to the Agenda A. December Board Meeting Date The Board discussed and agreed that the December Board meeting would be held via teleconference on December 19th at 10:00 a.m. III. Approval of Minutes The October 24, 2014 Board of Directors meeting minutes were presented and reviewed. MOTION 14:30 Jill Dunn moved to approve the October 24 meeting minutes as presented. Bettye Dunham seconded and the motion carried IV. Finance Committee Report B. Review of Financial Statements Marie Dausch reported that INARF October financial statements reflect a positive increase in net assets from operations of sixty two thousand five hundred thirty four ($62,534) an unrealized gain on investments of thirty eight thousand five hundred thirty ($38,530), for an overall change in net assets of one hundred and one thousand and sixty five ($101,065). MOTION 14:31 Marie Dausch moved to file the October financial statements for audit. Jill Dunn seconded and the motion carried. C. Proposed 2015 Operating Budget Ms. Dausch reviewed the Proposed 2015 Operating Budget, noting that it reflects the full Governmental Affairs Consultant fees for transition purposes, thus resulting in a budgeted deficit. As previous agreed by the Board, this projected deficit will be addressed through use of excess reserves. D. Designation of Unrestricted Funds The Board discussed designating investments of $125,000 of the unrestricted net assets to cover the 2015 – 2016 effect of the transition. MOTION 14:32 Jill Dunn motioned to approve the Proposed 2015 Operating Budget and the Designation of Unrestricted Funds. Jane Wear seconded and the motion carried. E. Investment Guidelines Recommendations Ms. Dausch reported that the Finance Committee reviewed the Investment Guidelines with Kevin Hampton, National Bank of Indianapolis (NBI). NBI recommends a more expansive investment policy with modifications to investment targets. MOTION 14:33 Marie Dausch motioned to approve the modifications of the Investment Guidelines Recommendations submitted by National Bank of Indianapolis. Steve Cook seconded and the motion carried. F. Change in Financial Institution - INARF Employee SEP Plan Ms. Young reported that as a result of the company’s recent change in investment companies, staff are recommending that the INARF Employee SEP Plan be changed from City Securities to National Bank of Indianapolis. This change would be effective immediately. After brief discussion and no concerns shared, there was agreement by the Board. V. Association Focused Reports and Discussion A. Upcoming Events and Activities Kim Opsahl reported on recent activities and upcoming events as noted on the INARF Upcoming Professional Development Activities and Events handout. B. Membership Renewal Update Ms. Opsahl reported on the progress of the 2015 institutional membership renewal. She referred Board Members to the updated INARF Institutional Members by Assigned INARF Board Member list for a current listing of outstanding member commitments. Board Members were encouraged to with any of their assigned members who had not yet committed to renewal. Lastly, she shared that INARF has added two new members to the membership, Indiana MENTOR and Cornerstone Support Services, LLC. C. Strategic Framework Update and Progress Ms. Opsahl reported on the INARF Strategic Framework: 2015 Focus and Priorities. The document reflects the feedback and decisions made during the Board’s recent Strategic Framework review, which were integrated into the current position statements. This will be shared with the corporate committees as they move forward with planning meetings. The Organizational Development Committee has met and the Membership Support & Development Committee is scheduled to meet December 10. D. Feedback Logo and Tag Line Ms. Opsahl reported that the INARF 40th Anniversary campaign is coming to a close and there is a need to revert branding back to a standard logo. Due to the mission statement changing, the tagline needs to be updated. Three choices for consideration were presented to the Board. After much discussion amongst members, Ms. Opsahl will follow up with an email to the Board with three logos, with and without tag lines for feedback and decision. VI. Industry Focused Reports & Discussion A. Update: 2015 Legislative Agenda Jon Burlison reported on the recent Governmental Affairs Committee (GAC) meeting which reviewed the progress of the 2015 Legislative Agenda. Other members of the GAC shared and discussed ongoing issues and concerns with DDRS discussions. The Board was provided with updated Timelines and Key Activities and INARF Public Policy Agenda - Core Talking Points. B. Waiver Re-Write & Rate Reform Updates The Board was provided with a GAC November Industry Update – Revised November 19, 2014 for review. Division of Disability and Rehabilitative Services (DDRS) Director Nicole Norvell and Bureau of Developmental Disabilities Services (BDDS) Director Julie Reynolds joined the Board meeting and discussed the Transition Plans and received feedback. See agenda item VII. VII. Discussion: HCBS Settings Rule & Indiana’s Transition Plan Nicole Norvell, DDRS Director, and Julie Reynolds, BDDS Director, met with the Board to discuss the proposed HCBS Settings Rule and Indiana’s Transition Plans for the Community Integration and Habilitation and the Family Supports Waivers released by DDRS. As part of this discussion, Ms. Norvell shared the Division’s overarching vision, touching upon how changes within the waiver will be integrated with other programs like Vocational Rehabilitation and early intervention services. She emphasized that initiatives within these different program areas were interconnected and that she and her staff were focused on making changes in a coordinated fashion. Following her introductory remarks, the Board provided perspective and feedback on the activities currently being proposed. Through that discussion, the need for partnership and collaboration were reinforced. After much discussion, Mr. Sacksteder thanked them both for their time and partnership. VIII. Other Business IX. Adjournment The next Board of Directors Meeting will be held on Friday, December 4th, starting at 1:00 p.m. and will be held via teleconference.
